Blocking Periods

In accordance with Art. 19(11) of Regulation (EU) No 596/2014 (MAR), MAR Significant Persons are banned from undertaking Transactions on their own account or on account of third parties, directly or indirectly, involving Financial Instruments or Associated Financial Instruments of UBI Banca S.p.A. (as defined in Attachment 4, letter A, of the Internal Dealing Regulation) during a blocking period of 30 calendar days prior to the announcement of an interim financial report or a year-end financial report (i.e., annual financial report) that UBI Banca S.p.A. is required to publish in accordance with the rules for the trading venue on which the UBI Banca S.p.A. shares are traded or the provisions of applicable national legislation.

Exceptions to the above ban may be granted, if reasonable grounds exist, by the Board of Directors of UBI Banca S.p.A., with the abstention of the relevant MAR Significant Person, where the said Significant Person is a director of UBI Banca S.p.A., in accordance with the limits set out in Art. 19(12) MAR.
